1. Acknowledgment and Acceptance of Terms

Welcome to the "XYCubic Logistics Integration System" (hereinafter referred to as the "Service"), owned and operated by PIXMA Business Co., Ltd. (雲卡商業有限公司, hereinafter referred to as the "Company"). By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and unconditionally agreed to be bound by all the terms and conditions outlined herein.

2. Scope of Service & Data Processing Principles

The Service provides order aggregation, shipping label imposition and printing, and smart wave picking list generation tools for third-party e-commerce platforms. The Service strictly adheres to data minimization and ephemeral processing standards. Buyer personally identifiable information (PII) is processed strictly in-memory for immediate print rendering tasks. The system does not permanently store, persist, or commercially exploit end-buyer personal data.

3. User Obligations and Account Security

Users are solely responsible for maintaining the confidentiality and security of their account credentials. Users agree not to engage in malicious scraping, denial-of-service activities, unauthorized third-party platform API interference, or any unlawful acts using the Service. All operations and fulfillments executed under a user account are deemed authorized actions of the registered user.

4. Service Availability & Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company shall not be held liable for any direct, indirect, incidental, or consequential damages (including fulfillment delays, shop penalty points, or lost profits) resulting from third-party platform policy shifts, external API outages, telecommunications line disruptions, scheduled maintenance, or force majeure events.

5. Prepaid Billing & No Forced Recurring Charges Guarantee

The Service operates on a prepaid subscription basis. The Company guarantees that no unauthorized automatic recurring credit card deductions will be made. Upon expiration of each billing cycle, users maintain full autonomy to manually decide whether to renew or extend service access.

6. Electronic Invoicing & Delivery Terms

• Mandatory Electronic Invoicing: In compliance with Taiwan Ministry of Finance (MOF) regulations and environmental policies, the Service issues certified electronic invoices (e-invoices). Physical paper invoices will not be provided.
• Individual Invoices: Individual consumers must provide their MOF Mobile Barcode Carrier during checkout. If no carrier is specified, the invoice will be escrowed by the system, and winning lottery notifications will be dispatched automatically via email.
• Corporate Invoices (Unified Business Tax ID): Business entities requiring VAT deduction must select "Corporate E-Invoice" at checkout and provide their official company title and 8-digit Unified Business Number (統編). Official digital invoice notices will be emailed upon completed payment.

7. Cancellation, Termination & Refund Policy

• Digital Services Exemption from Cooling-Off Period: The Service constitutes immediate online computing resources, software processing, and digital labor rendered upon activation, which is formally exempted from the statutory 7-day unconditional cancellation/cooling-off period under Taiwan Consumer Protection Law.
• Mid-Term Termination of Discounted Plans: If a user terminates a long-term discounted plan prior to expiration, all past utilized months will be recalculated and deducted at the Company's standard published monthly regular rate (fractions of a month will be calculated as a full month). The refund settlement balance is truncated (rounded down) to the nearest integer in New Taiwan Dollars (NTD).
• Refund to System Wallet: Any remaining balance after deducting used months at the standard rate will be credited back to the user's "XYCubic System Wallet Balance" (recorded via immutable transaction ledgers) for future service offsetting.

8. System Wallet & Balance Withdrawal Rules

• Nature of Wallet: The system wallet is not a commercial bank deposit account and does not generate interest under any circumstances.
• Withdrawal Paths & Administrative Fees: When a user formally requests full balance withdrawal (all payout figures rounded down to nearest integer NTD):
  1. Original Credit Card Reversal (Default): If the payment was made via credit card and remains within the gateway's allowable refund window, the balance will be refunded via card reversal without interbank transfer fees.
  2. Manual Domestic Bank Remittance: If the transaction exceeds the gateway refund window or was paid via non-card methods, funds will be manually remitted to the user's verified Taiwan domestic bank account, subject to an interbank transfer fee (NT$ 15 per transaction) and administrative costs deducted from the payout.

9. Governing Law & Jurisdiction

The validity, construction, and enforcement of these Terms shall be governed entirely by the laws of the Republic of China (Taiwan). Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Taiwan New Taipei District Court as the court of first instance.
